General Terms and Conditions

1 Introduction

PreMeSec GmbH, Sonnhaldenstr. 6, 9464 Rüthi (Rheintal) (hereinafter referred to as ‘PreMeSec’) provides an internet-based advertising platform for precious metals, premesec.ch. These Terms and Conditions govern the use of the platform by natural and legal persons (hereinafter referred to as ‘Users’) as well as the relationship between PreMeSec and the Users. PreMeSec’s services are aimed exclusively at persons whose main place of residence is in Switzerland. The Privacy Policy and Current Fees are set out in separate documents and do not form an integral part of these Terms and Conditions

2 Advertising Platform

PreMeSec makes the advertising platform available to its Users until further notice. Users may create sales advertisements for precious metals. PreMeSec publishes the advertisements and provides advertising services to the advertisers.

Users who advertise products are hereinafter referred to as ‘advertisers’.

PreMeSec merely provides a platform for the publication of advertisements. PreMeSec is in no way a party to any transaction that may arise as a result.

3 Advertisements on premesec.ch and Services Provided by PreMeSec

Advertisements can be created on PreMeSec.ch. Registered prospective buyers may request the advertiser’s contact details; conversely, the prospective buyer’s contact details are also forwarded to the advertiser.

An advertisement constitutes a non-binding offer to sell, and contact initiated by a prospective buyer does not constitute a binding offer to purchase. Agreements regarding the details of any delivery, further terms and conditions, and the possible conclusion of a sale take place exclusively outside the advertising platform.

4 Products permitted in adverts

Only adverts for investment-grade precious metals are permitted on PreMeSec; this includes precious metal coins, bars, slab bars and coin bars. Adverts may only be created for products that are available on premesec.ch. Should an advertiser wish to sell a product not included in the extensive product range on premesec.ch, they may contact PreMeSec to request that the product be added. PreMeSec is under no obligation to add new products.

Only genuine investment metals may be advertised on premesec.ch; no copies, replicas, models, forgeries, imitations, etc. The goods advertised must comply with the legal requirements for precious metals, in particular the legislation governing the control of precious metals. Products must be made of gold, silver, platinum or palladium, or alloys thereof. Products that are merely plated with the aforementioned precious metals – such as gold-plated or silver-plated items – are not permitted on the advertising platform.

5 Right of Use

The right to use the advertising platform is granted until further notice. PreMeSec may deny or withdraw the right to use the platform from individual or all users at any time without giving reasons. The withdrawal of the right of use shall not give rise to any liability on the part of PreMeSec to pay compensation to the user or users.

6 Users

6.1 Users without registration

Unregistered users may view adverts placed by other users. For security reasons, unregistered users cannot access the contact details of advertisers. This is to protect users from theft and the disclosure of storage locations.

6.2 Registered users

Registered users may create adverts, request the contact details of advertisers and ask questions.

6.3 Requirements for registration

Registered users may be natural persons or legal entities resident in or having their registered office in Switzerland. Users must have legal capacity. Natural persons must also be at least 18 years of age.

To register, users must upload a valid identity document (passport or identity card, both sides). The identity document is stored in encrypted form by PreMeSec. Foreign passports and identity documents are only accepted if a Swiss residential address is entered; otherwise, the front and back of the Swiss foreigner’s identity document (residence permit) must be uploaded.

In the case of legal entities, the identity document must be that of a person authorised to sign on behalf of the company as per the commercial register entry.

It is also necessary to provide a valid Swiss telephone number.

PreMeSec may request further information, such as confirmation of the residential address or user identification.

7 Users’ Obligations

7.1 User Data and Communication

Users are obliged to provide all information truthfully and in full, and to keep it up to date at all times. Messages, invoices and reminders are deemed to have been delivered once they have been sent to the last known address.

7.2 Use of the advertising platform

Users are obliged to use the advertising platform premesec.ch exclusively for its intended purpose of advertising investment precious metals. Any misuse will result in PreMeSec claiming damages from the user.

7.3 Significance of the Terms and Conditions for Users

Users are obliged to comply with these Terms and Conditions; in the event of a breach of these Terms and Conditions, users may be permanently banned.

8 Advertisement Fees

PreMeSec’s advertisement fee is calculated as a percentage of the market value of the goods on offer and not based on the selling price the advertiser wishes to achieve. The listing fee is a charge for publishing and promoting the advert. The fee becomes payable as soon as a registered prospective buyer requests the advertiser’s contact details; this constitutes proof that PreMeSec has fulfilled its service (publishing online and promoting effectively). The fee is payable regardless of whether a purchase contract is subsequently concluded.

8.1 Lead Guarantee

PreMeSec is the first Swiss advertising platform for precious metals; we guarantee that our adverts will attract at least one prospective buyer. Should not at least one registered user click on ‘Contact’ during the entire duration of the advert, PreMeSec will be deemed not to have provided an adequate advertising service and no fee will be charged. The fee is payable per advert, at most once, upon the first lead generated.

8.2 Prohibition on circumventing advertising fees

It is prohibited to circumvent PreMeSec’s fees. Any attempts to do so may result in the permanent exclusion of the user concerned. In particular, it is not permitted for there to be a discrepancy between the quantity specified in the input form and the quantity of goods described in the advert text.

Advertisement texts that promote additional or higher-value products in addition to the main product are not permitted. If an attempt is made to promote higher-value goods via a low-priced advertisement (e.g. an advertisement for a 1g gold bar, but the text offers a 100g bar for sale), the fee for the higher-value good shall be payable immediately in accordance with the fee schedule. In this case, the lead guarantee in accordance with clause 8.1 shall not apply, nor shall PreMeSec be required to provide evidence of the advertising effect.

9 Advertisements

9.1 Duration

Advertisements have a duration of 31 days

9.2 Advertisement information

Advertisers are obliged to include all relevant information, in particular details regarding the condition and any defects that reduce the value, in a clear and comprehensible manner within the advertisement text.

The advertiser is obliged to use only text and images for which they hold the copyright or for which they have the copyright holder’s consent to use them.

Uploaded images must show the products being offered. If several similar products are advertised in a single listing, the product in the worst condition must also be shown.

The use of stock images is not permitted.

9.3 Deletion of Advertisements

PreMeSec reserves the right to delete, in whole or in part, without prior warning and without giving reasons, any advertisements that breach the Terms and Conditions, as well as advertisements from users who breach the Terms and Conditions.

PreMeSec shall not be liable for any damages to users as a result of such deletion. Any listing fees that have already become due in accordance with Clause 8 remain payable in full.

10 Question and Answer Function

The Question and Answer function is intended solely for clarifying any ambiguities regarding a listing. Its use for side agreements, advertising, etc. is prohibited.

11 Prohibition of Links to Third-Party Websites

The publication of links to third-party websites is prohibited and such links will be removed.

12 Prohibition of Advertising

Advertising for any companies, services or products that cannot be offered on premesec.ch via the functions provided for that purpose is prohibited.

13 Prohibition of Unlawful Use

The use of the advertising platform for unlawful activities, such as those listed below (this list is not exhaustive), is prohibited:

  • Insults

  • Infringement of copyright (in particular copyright in texts and images)

  • Deception

  • Fraud

  • Circulation of counterfeit goods

Advertisements and enquiries that breach these rules will be deleted, with the costs borne by the party responsible (CHF 120 per hour, minimum CHF 40)

14 Severability clause

In the event that individual provisions of these General Terms and Conditions are wholly or partially void or invalid, the remaining provisions and parts of those provisions shall remain valid.

PreMeSec shall replace the invalid or void provisions with provisions that come as close as possible, in legal and economic terms, to the original provisions.

Any omissions shall be filled in the same manner.

15 Exclusions of Liability

15.1 General

PreMeSec excludes all liability for any damage arising from or in connection with the use of the premesec.ch advertising platform, to the extent permitted by law.

PreMeSec expressly does not guarantee or accept liability for the goods advertised on the premesec.ch platform.

As the operator, PreMeSec is not responsible for the accuracy of information provided by users and may check, correct or delete such information at any time. Furthermore, the efforts undertaken by PreMeSec to prevent errors, misrepresentations and fraud, as well as the information provided by PreMeSec for the safety of users, do not constitute any guarantee on the part of PreMeSec and do not give rise to any liability on the part of PreMeSec.

Users are personally liable for the information and media they post.

Users are liable for any damage arising from their use of the advertising platform, including any legal costs.

15.2 Technical faults

PreMeSec GmbH is liable only for the unavailability of the advertising platform resulting from gross negligence or wilful misconduct.

The server time does not necessarily correspond to an official time.

The advertising platform may be temporarily unavailable due to maintenance work or software updates; this does not give rise to any claims by users against PreMeSec GmbH.

15.3 Serious technical faults and attacks

Should it be necessary to take the platform offline for a short or longer period due to serious technical problems or attacks on the infrastructure, this shall not give rise to any liability claims by users against PreMeSec. In such a case, the decision to remove listings on the basis of the aforementioned points rests solely with PreMeSec GmbH and shall not give rise to any claims for liability by users against PreMeSec.

16 Place of Jurisdiction

  1. Our business activities are governed exclusively by Swiss law. The place of jurisdiction is Rüthi (Rheintal).

The Terms and Conditions in the currently valid version published on premesec.ch shall apply.
